Terms of Service

These Terms of Service (“Terms”) govern your access to and use of UGC CoPilot (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

UGC CoPilot is an AI-assisted workspace for e-commerce and dropshipping creators. It helps you research products and generate user-generated-content (UGC) advertising materials such as hooks, scripts, storyboards, voiceovers, and image or video prompts and assets. The Service is a creative tool; it does not run, manage, or place advertising on your behalf.

2. Accounts

You must provide accurate information and keep your login credentials secure. You are responsible for all activity under your account. You must be at least 18 years old to use the Service.

3. Credits, packs, and subscriptions

  • The Service runs on credits. Certain actions (for example generating scripts, voice, or video) consume a stated number of credits.
  • Credits can be purchased as one-time packs through our Shopify-powered checkout, and in the future through monthly subscription plans.
  • Credits are a prepaid license to use Service features. They have no cash value, are not transferable, and cannot be exchanged for money except as described in our Refund Policy.
  • We may change credit pricing or the credit cost of features going forward. Changes do not retroactively affect credits already in your balance.
  • How many videos a credit balance produces is an estimate only and varies with video length, the assets you select, retries, and generation options. Plan and pack descriptions use “up to” figures and are not a guarantee of a fixed number of videos.
  • Free-plan output includes a watermark and is limited to a single trial video generation. Making any payment — a one-time credit pack or a subscription — removes the watermark and lifts the free-trial video limit.
  • Monthly subscription credits do not roll over between billing periods. Unused monthly credits do not carry forward.

4. Your content and rights

You are responsible for the inputs you provide (including product information, URLs, and uploaded materials) and for how you use the outputs the Service generates. You represent that you have the rights to the inputs you submit and that your use of any generated content, including for advertising, complies with applicable laws and platform policies.

As between you and us, you own the content you generate with the Service, subject to the rights and terms of the underlying AI providers. We may use de-identified, aggregated usage data to operate and improve the Service.

5. No guarantee of results

The Service produces creative material and research signals. We do not guarantee any advertising performance, sales, reach, engagement, account approval, or financial outcome. Product “scores” and discovery signals are estimates to assist your judgment, not promises.

6. Acceptable use and your responsibilities

You agree not to use the Service to:

  • Create false, deceptive, or misleading product claims, or content that infringes intellectual-property or publicity rights.
  • Generate content that is unlawful, hateful, sexually explicit involving minors, or that violates the policies of the ad platforms you publish to.
  • Misrepresent AI-generated content where disclosure is legally required.
  • Attempt to disrupt, reverse-engineer, scrape, or abuse the Service or its rate limits.

You — not UGC CoPilot — are solely responsible for verifying product claims, securing necessary rights and licenses, adding required disclosures, and ensuring your ads comply with the rules of any platform on which you run them.

7. Third-party services

The Service relies on third-party providers (for AI generation, payments, storage, and email). Your use of features powered by them is also subject to their terms. We are not responsible for third-party outages or changes outside our control.

8. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, UGC CoPilot will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Service will not exceed the amount you paid to us in the three months preceding the event giving rise to the claim.

10. Suspension and termination

We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security, legal, or abuse risk. You may stop using the Service at any time.

11. Governing law

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. Disputes will be subject to the competent courts located in Israel, unless mandatory local law provides otherwise.

12. Changes and contact
